Jumpjet Terms and Conditions

Acceptance of Terms and Conditions

These Terms and Conditions govern your use of the Jumpjet services and website. By applying for a membership or enrolling as a member in Jumpjet, you accept and agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you are not permitted to enroll as a member to Jumpjet and or to use the website.

These Terms and Conditions are an ongoing contract between you and Jumpjet and apply to your use of the Jumpjet services and website. These Terms and Conditions affect your rights and you should read them carefully.

Changes to Terms and Conditions

Jumpjet reserves the right, from time to time, with notice to you, to change these Terms and Conditions in our sole and absolute discretion. You will be notified of changes to the Terms and Conditions. Additionally, the most current version of these Terms and Conditions can be reviewed by clicking on the "Terms and Conditions" located at the bottom of the Jumpjet website. The most current version of the Terms and Conditions will supersede all previous versions. Your continued use of the Jumpjet services or website after changes are made means that you agree to be bound by such changes.

General Use Provisions

Jumpjet is intended for personal use only and may not be used by a commercial user. Jumpjet memberships may not be resold, licensed, assigned, gifted, or otherwise transferred to a third party without the express written consent of an authorized representative of Jumpjet. Memberships should not be held as an acquired asset or investment and no members should expect to derive or receive any indirect or direct financial or profit from the membership.

You may only register to become a member of Jumpjet if you are of sufficient legal age and can enter into binding contracts. If you apply and enroll as a member, you are responsible for maintaining the secrecy of your passwords, login, and account information. You will be responsible for all use of our website by you and anyone using your password and login information (with or without your permission). You agree to notify Jumpjet immediately if you discover unauthorized use of your account. You agree not to use Jumpjet services or the website for any purpose that is unlawful, illegal, or forbidden by these Terms and Conditions.

How Jumpjet Works

Jumpjet provides its members with access to private jet travel. We offer a variety of membership plans at varying price levels that specify the number of flights, amount of mileage, and number of guests allowable in a given time period (typically one month periods). Under all membership plans, members, once enrolled, can search for a flight using the website.

Jumpjet is not an on-demand charter jet program or fractional share/hourly card program. By enrolling as a member into Jumpjet, you are not purchasing an interest in a specific aircraft or fleet of aircrafts and you will not have immediate on-demand access to a private jet or fleet of private jets.

Jumpjet is an authorized agent for West Air Holdings DBA Trans Air, Inc., a certified 135 air carrier as licensed by the Federal Aviation Administration and the United States Department of Transportation. All flights will be performed by Trans Air or one of its ARG/US or Wynvern approved and certified 135 carriers. Jumpjet does not directly own or directly operate any of the aircrafts.

Applying for Membership

Jumpjet does not discriminate based on race, religion, gender, sexual orientation, or ethnicity. Currently Jumpjet services only limited airports, cities, and states. Therefore, Jumpjet may not be able to provide customers in some locations with memberships. Jumpjet's membership services are expensive and require large financial expenditures from members. Jumpjet reserves the right to perform a credit history search and Transportation Security Administration (TSA) "No Fly" list check on all applicants prior to accepting them as members. Applicants on a TSA "No Fly" list are not eligible for membership.

Number of Flights and Distances per Period

Each membership plan has its own detailed guidelines that specify the number of flights allowable per period, the allowable distance per flight, and maximum guests allowable per flight. Exceeding the specifications of the membership plan will result in additional fees for the member.

Requesting a Flight

As a member of Jumpjet, you may request an exact day and time of departure. All flight requests are subject to availability. Jumpjet will make reasonable efforts provide you with a flight that meets the exact specifications of your request; however, Jumpjet does not guarantee that your flight will be scheduled in accordance with those exact specifications. Instead, Jumpjet may provide you with a flight that departs at a different time (earlier or later) in the same day of departure as your request. In some circumstances, Jumpjet may not be able to provide you with a flight on the day of departure as provided in your request. In those instances, Jumpjet will provide you with a flight on a different departure date than your requested departure date.

Jumpjet is constantly taking steps to expand its presence in both the United States and foreign countries. However, currently Jumpjet can only provide its services in limited areas. Jumpjet may not be able to provide members with flights to particular destinations. A list of available destinations is available on the website. Jumpjet reserves the right in its sole discretion to deny a requested destination for any reason.

Reserving a Flight

Once the member has found a suitable flight, the member can make a reservation on that flight. You will be billed $5.00 for each reservation as a reservation fee and you will be billed in accordance with our billing policies whether you ultimately fly on that particular flight or not. Reservations must be made in advance in accordance with the membership plan details and may be made up to one year in advance (as long as the date requested is within your current contract period). Reservations are taken on a first-come-first-serve basis.

Cancellation of a reservation within 30 days of the scheduled flight will result in a loss of one flight and the mileage of the cancelled reservation. If the cancellation occurs more than 30 days prior to the scheduled flight, you may request a review of the above rule and may seek a refund of the flight and mileage. Jumpjet reserves the right to allow or disallow a refund in its sole discretion. Two cancellations by a member within a 12-month period without proof of an emergency situation (e.g. family, health, death, accident, etc.) may result in a termination of the membership by Jumpjet.

Guests

Each membership plan describes whether the member is allowed to bring guests along on the trip and, if so, the maximum number of guests allowable. All guests are subject to these Terms and Conditions and the Rules of Conduct (as defined herein below). Upon request from Jumpjet, all guests will be required to provide personal information for the purposes of security clearance through TSA before being allowed to travel through Jumpjet.

Guests in addition to those allowable under the membership plan are subject to additional fees, capacity of flights, and availability. Members must submit a request for all guests in addition to those permitted under the membership plan at the time the reservation is booked. Jumpjet reserves the right to deny a request to add additional guests for any reason. The charge for the first additional guest will be $500.00 and other additional guests will be $250.00 per guest.

Guests are not permitted to fly without being accompanied by the member. However, under some plans, immediate family members that are pre-registered may fly unaccompanied.

Additional Passengers

Jumpjet reserves the right in its sole discretion to add other members as additional passengers to any flight. Jumpjet does not guarantee that you and your guests will have the jet entirely to yourself. Jumpjet also reserves the right in its sole discretion to stop or layover at a destination in route to the final destination for the purpose of refueling, maintenance or repair of equipment, and picking up or dropping off other members and their guests.

Membership Enrollment Fee

After you have applied and been accepted as a member to Jumpjet you will be required to pay an enrollment fee. Enrollment fees vary depending on the membership plan that you choose. The enrollment fee is for the purpose of activating your account and for providing you with access to the member's section of the website. The enrollment fee is non-refundable.

Membership Fees, Billing and Method of Payment

Each member will be required to pay a monthly membership fee. Membership fees vary depending on the membership plan that you choose. The membership fees provide you with a specified number of flights, specified distance per flight, and specified number of guests per flight for the billing period.

Membership fees are due on the first day of each month. You will receive an invoice for fees due prior to the first of the month. All payments after the fifth day of each month will be considered delinquent and may result in cancellation of the membership by Jumpjet. Jumpjet reserves the right to enforce the terms of these Terms and Conditions and may take any and all actions necessary and in accordance with applicable legal requirements and procedures to recover outstanding membership fees and reasonable legal fees.

How to Pay Membership Dues, Enrollment Fees, and other Fees

All membership dues and fees are payable in the form of personal or cashier's checks. All checks can be sent to one of the following addresses:

Taxes and Other Applicable Flying Fees

Jumpjet does not charge members additional landing fees or fuel surcharges. However, Jumpjet is required by law to collect Federal Excise Tax of 7.5% on monthly membership fees.

Privacy Policy

Jumpjet is committed to protecting your privacy and personal information. Jumpjet does not sell our members' personal information to commercial third parties. However, Jumpjet reserves the right to share your information with its providers, including but not limited to, newspaper and advertising providers. Jumpjet shall not be responsible for unsolicited messages to members from third parties if the member voluntarily displays or distributes personal information on the Jumpjet website.

Notwithstanding the above, Jumpjet reserves the right to share your information with the Federal Aviation Administration, United States Department of Transportation, or any other government agency (domestic or foreign) to the extent necessary to comply with all applicable laws.

Jumpjet employs encryption for secure transactions using VeriSign insured security certificates.

Jumpjet may use any comments, information, ideas, concepts, reviews, techniques or any other material contained in any communication you may send to Jumpjet, including, without limitation, responses to questionnaires, surveys, or postings to Jumpjet or the Jumpjet website, without further compensation, acknowledgement or payment to you, for any purpose whatsoever including, but not limited to, developing and marketing products and services and creating, modifying or improving the Jumpjet service and website.

Electronic Communication

By using Jumpjet's services, you consent to receiving electronic communications from Jumpjet. These communications will include notices about your account and information concerning or related to our service. These communications are part of your relationship with Jumpjet and you receive them as part of the Jumpjet membership. You agree that any notice, agreements, disclosure or other communications that Jumpjet sends to you electronically will satisfy any legal communication requirements, including that such communication be in writing.

Rules of Conduct for Members

Jumpjet members are required to conduct themselves in a reasonable manner and in accordance with all applicable laws and regulations (including foreign laws where applicable) while using Jumpjet services. Jumpjet members are prohibited from using Jumpjet's services or any aircrafts in a manner that is not reasonably expected. All members are subject to all Federal Aviation Administration regulations. Jumpjet members are prohibited from becoming intoxicated or under the influence of a controlled substance at any time prior to the departure or during the flight. Jumpjet members are required to immediately report any inappropriate behavior to the flight attendants, pilots or flight crew and Jumpjet. Inappropriate behavior by a member or guest may result in removal of the member and/or guest(s) from the flight by the pilot in his or her sole discretion if he or she determines it to be reasonably necessary to insure a safe flight for the other passengers and crew.

Jumpjet reserves the right to terminate your membership if you or one of your guests breaks any of these rules of conduct.

Termination of this Agreement

Jumpjet reserves the right to terminate this agreement for any breaches by the member of these Terms and Conditions.

You may at any time terminate this agreement upon 30 days written notice. However, Jumpjet reserves the right to collect full payments due under the membership plan upon your termination. If Jumpjet fails to provide you with adequate service or sufficient access to flights, you may request a refund of the remaining payment from Jumpjet. In order to get a refund of the remaining payments from Jumpjet, you must submit with your notice to terminate a description of the circumstances under which Jumpjet failed to provide you with sufficient access to flights, suitable reservations, and website access. Jumpjet will promptly investigate your claim and will issue a refund if it concludes that you did not receive service in accordance with your selected membership plan and these terms and conditions.

Security Rules and Regulations

Jumpjet agrees to comply with all applicable laws and government regulations (and foreign laws where applicable). Jumpjet also agrees to comply to the best of its abilities with any on-going investigations with law enforcement authorities which may result in prosecution of members. Users are prohibited from violating or attempting to violate any state or federal law or regulation. Violation of these laws may result in criminal and civil liability.

Disclaimers of Warranties

JUMPJET, ITS PROVIDERS AND PRINCIPALS MAKE NO WARRANTY OF ANY KIND REGARDING ITS WEBSITE, CONTENT, OR SERVICES, ALL OF WHICH ARE PROVIDED ON AN "AS IS" BASIS. JUMPJET, ITS PROVIDERS AND PRINCIPALS EXPRESSLY DISCLAIM ANY REPRESENTATION OR WARRANTY THAT THE SITE WILL BE FREE FROM ERRORS, VIRUSES OR OTHER HARMFUL COMPONENTS, THAT COMMUNICATIONS TO OR FROM THE WEBSITE WILL BE SECURE AND NOT INTERCEPTED, THAT THE SERVICES AND OTHER CAPABILITIES OFFERERED FROM THE WEBSITE WILL BE UNITERRUPTED, OR THAT ITS CONTENT WILL BE ACCURATE, COMPLETE OR TIMELY.

OTHER THAN THOSE WARRANTIES WHICH, UNDER THE LAWS APPLICABLE TO THESE TERMS AND CONDITIONS, ARE IMPLIED BY LAW AND ARE INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION, JUMPJET, ITS PROVIDERS AND PRINCIPALS EXPRESSLY DISCLAIM ALL WARRANTIES AND REPRESENTATIONS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE.

Limitations on Liability

Subject to applicable law, use of the Jumpjet services and website are at your sole risk. Providers who furnish products and services through Jumpjet and its website are independent contractors and not agents or employees of Jumpjet. IN NO EVENT WILL JUMPJET OR ITS PROVIDERS BE LIABLE TO ANY PARTY FOR ANY DIRECT, INDIRECT, SPECIAL OR OTHER CONSEQUENTIAL DAMAGES FOR USE OF THE JUMPJET SERVICES, WEBSITE, ANY HYPERLINKED WEBSITE, THE ACTS OR OMISSIONS OF PROVIDERS WHO FURNISH PRODUCTS OR SERVICES THROUGH JUMPJET AND ITS WEBSITE, OR THE PRODUCTS OR SERVICES OFFERED BY PROVIDERS THROUGH THIS WEBSITE, INCLUDING, WITHOUT LIMITATION, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, THAT ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH (I) ANY USE OF BROWSING OR DOWNLOADING OF ANY PART OF OUR SITE OR CONTENT (II) ANY FAILURE OR DELAY (INCLUDING WITHOUT LIMATION THE USE OR INABILITY TO USE ANY COMPONENT OF THIS SITE FOR RESERVATIONS), OR (III) THE PERFORMANCE OR NONPERFORMANCE BY US OR ANY PROVIDER, OR (IV) ANY DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF RECORD, EVEN IF JUMPJET AND THE PROVIDERS HAVE BEEN ADVISED OF THE POSSIBILITY OF DAMAGES TO SUCH PARTIES OR ANY OTHER PARTY OR (V) ANY DAMAGES RESULTING FROM INJURY OR DEATH WHILE ON AN AIRPLANE OF ANY PROVIDER.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the state of Colorado, without regard to conflicts of laws provisions. You and Jumpjet agree to submit any legal dispute to the exclusive jurisdiction of the state and federal courts situated in Denver, Colorado.

Notices

Any notice, demand or communication required or permitted to be given under any provision of this Agreement shall be deemed to have been sufficiently given or served for all purposes if sent by registered or certified mail, postage and charges prepaid, or by a recognized overnight delivery service, addressed to the member's and/or Jumpjet's address, as appropriate.
